1. Preamble
Lopoca Services Limited, here in after referred to as LOPOCA, is a company incorporated under the laws of Malta, bearing company registration number C97173, with registered address at,  Level 4, Pendergardens Business Centre, 44, St. Andrew’s Road, St. Julian’s, STJ 9023., Malta, VAT No. MT27709128

2. Introduction
Instead of conventional advertising LOPOCA utilizes its own marketing tool, the Gold Club, that relies on word of mouth to promote the Services offered on the Website.
 
In the Gold Club, Members receive Benefits according to a series of clearly defined conditions being met in a certain Pay Period. All Benefits are based on the Calculation Base of the Services.
None of the available Benefits rewards the acquisition of new Users by a Member as such but make it a condition that Members and/or their Teams actually use the Services offered on the Gaming Platform.
 
3. Before you get started

3.1.Team and Generations

During the registration process, Users will be asked to provide the name of the Gold Club Member who recommended the LOPOCA Gaming Platform to them (Referrer) or to nominate a Referrer. They will become part of their Referrer’s Team. Team means all Users subordinated to a Gold Club Member or to his subordinate Team Partners.
To further illustrate Teams, let us look at the Team of a fictitious Gold Club Member X from his perspective:
All new Users who are a direct referral of Gold Club Member X (Referrer) are known as his First Generation, regardless of their status in the Gold Club. Users will be alternatingly allocated to either the right or left leg of the Team of Gold Club Member X in chronological order of their registration, unless Gold Club Member X explicitly allocates the new User to the left or right leg of his Team. Once allocated, positions can no longer be changed.
 
If Gold Club Member A (First Generation from Gold Club Member X) recommends LOPOCA to a new User and this User provides the name of Gold Club Member A as their Referrer, the new User will represent the Second Generation of Gold Club Member X, regardless of their status in the Gold Club.

The same applies accordingly with respect to Gold Club Member X’s Third Generation and so forth.

3.2.Calculation Base
The Calculation Base is the basis for the calculation of Cashback[1], the Nugget Game Bonus[2] and the Benefits in the Gold Club.

The Calculation Base is calculated separately for the Services, namely Casino, Sports Betting and the Nugget Game.
The Calculation Base One equals LOPOCA’s Service related Gross Gaming Revenue (i.e. wagers less winnings = GGR) less fees, taxes/tax related costs and overhead costs. Overhead costs deducted will at a maximum amount to 30% of the Gross Gaming Revenue.

The Calculation Base Two equals Lopoca’s Calculation Base One less Service specific contribution to the Cashback Pot.

The Calculation Base Three equals Lopoca’s Calculation Base Two less Service specific contribution to the Team Cashback Pot.

For the calculation of the Calculation Base of the Nugget Game, the Calculation Base One equals the Calculation Base Two equals the Calculation Base Three, as no Service specific contributions to the Cashback Pot or Team Cashback Pot are deducted.

3.3.Benefit Account
Gold Club Members get a Benefit Account added to their User Account where they receive all their Benefits generated in the Gold Club.

To use Credits in the Benefit Account in the Services, the Gold Club Member must first transfer these Credits to the Gaming Account.


3.4.Pay Period
Benefits are determined per Pay Period. There are four Pay Periods a month. For an overview, see table below:

Benefits generated will be credited to the Benefit Account and can be used after a monthly self-bill/receipt is issued by LOPOCA. The self-bill/receipt shall be issued within 14 days after the end of each calendar month and provided to the Member via his User Account. LOPOCA will issue self-bills with the explicit consent of the Member until further notice for services rendered by the Member in relation to the Partner Program on a monthly basis instead of issuing any receipts/invoices by the Member. Each self-bill/receipt shall be deemed as accepted by the Member if he does not file any objection to LOPOCA Customer Support at support@lopoca.com  within 15 days after making available of the self-bill/receipt:


3.5.Points and Steps

3.5.1.Points
Any Wagers generated by Users in the Services corresponds to a certain number of Points. In Sports Betting, the Casino and the Nugget Game, a Wager of EUR 200.00 equals one Point.

3.5.2. Steps
Every time a Gold Club Member’s Team generates 300 Points in line with the 1/3 to 2/3 Rule a Step will be actually gained by the Gold Club Member. The 1/3 to 2/3 Rule states that the Team needs to generate at least 300 Points in one Pay Period, whereby, of these 300 Points at least one third (100 Points) need to be generated by the weaker leg of a Gold Club Member’s Team and two thirds (200 Points) need to be generated by the stronger leg of a Gold Club Member’s Team. For an example calculation of the 1/3 to 2/3 Rule, see the Section 5.2.

3.5.3. Carrying forward of Points
Points generated in a respective Pay Period that do not form a Step can be carried forward to the next Pay Period.

3.6. Gold Club
The Status in the Gold Club has an effect on certain Benefits. In the Gold Club, to achieve a certain Status for the next four commission periods , Gold Club Members have to fulfil certain requirements  between the  15th day of the month  starting at  00.01 CET ending 00.00 CET on the 14th  day of the following month. Once a Gold Club Member achieves a certain status  he will remain a minimum of this Status for the next 1 year or in other words 48 pay periods  unless he reaches the next Status level.

3.6.1. Status and Requirements
There are nine (9) Statuses in the Gold Club: Starter, Member, Apprentice, Mentor, Manager, Director, International Director, General Director and President. For an overview of the relevant requirements, see the following table:

3.6.2. Effect on Benefits
The Status a Gold Club Member holds in the Gold Club has an effect on certain Benefits, namely:
  • Fast Start Bonus;
  • Team Commission; and
  • Matching Bonus.

For the Fast Start Bonus as well as the Team Bonus, the maximum Benefit paid out to a Gold Club Member in a Pay Period depends on their Status in the Gold Club. The Matching Bonus is only paid out to Gold Club Members that hold a certain Status in the Gold Club.


3.7. Legal and tax
LOPOCA does not provide any legal or tax related advice or assurance regarding the Services. Any funds credited to your User Account and any incentives received may be deemed to be subject to income tax, social security contributions, value added tax (VAT) and/or any other taxes. As appropriate to the jurisdiction of the Member’s residence, the Member is responsible for paying any applicable taxes as well as social security contributions on any such funds credited to the User Account. The Member is responsible to seek independent financial, tax and legal advice in any context related to LOPOCA. LOPOCA is under no obligation to assist in any enquiry into any Member’s tax position or situation.

The Member agrees that LOPOCA will apply the self-billing procedure with regards to Gold Club Benefits, where applicable. In order to enable LOPOCA to issue correct self-bills/receipts the Member agrees to provide LOPOCA with all necessary information in accordance to applicable laws (e.g. in particular VAT status of being a VAT entrepreneur, invoice details, VAT number (if applicable), etc.) and inform LOPOCA of any changes in this context (eg. the Member will become a VAT entrepreneur in the future by exceeding applicable thresholds or in case the VAT number of the Member will change, terminate for any reason).
 
For the avoidance of doubt, the Member’s failure to comply with these obligations and/or any relevant applicable laws (including laws relating to taxation and social security contributions) will constitute a breach of the LOPOCA Terms of Use. The Member will pay all taxes and social security contributions applicable to you and you will not hold LOPOCA liable for any such taxes, social security contributions and any related damages.

4. Gold Club Benefits
The following Benefits are available to Gold Club Members in the Gold Club:

  • Team Cashback;
  • Fast Start Bonus;
  • Team Commission; and
  • Matching Bonus.

4.1. Team Cashback

4.1.1. Basis for Calculation
The basis for calculation of Team Cashback is the Calculation Base Two.

4.1.2. Team Cashback Service Pot
There are two Team Cashback Service Pots, the Team Cashback Sports Betting Pot and the Team Cashback Casino Pot.
The Team Cashback Sports Betting Pot consists of:
  • 10,52% of the Calculation Base Two of Sports Betting.

The Team Cashback Casino Pot consists of:
  • 10,52% of the Calculation Base Two of Casino.

4.1.3. Distribution
The Team Cashback Gold Club Members receive depends on:
  • Wagers placed by their First Generation in the specific Service (Sports Betting or Casino) in relation to the total Wagers placed in that specific Service at the end of the Pay Period. Based on this ratio an aliquot part of the Team Cashback Service Pot is calculated. From this aliquot part, the Gold Club Member receives 50% as Team Cashback.
  • Wagers placed by their Second Generation in the specific Service (Sports Betting or Casino) in relation to the total Wagers placed in that specific Service at the end of the Pay Period. Based on this ratio an aliquot part of the Team Cashback Service Pot is calculated. From this aliquot part, the Gold Club Member receives 50% as Team Cashback.
The amounts from each Team Cashback Service Pot are then summed up and paid out to the Gold Club Member as Team Cashback.


4.1.4. Fictitious Sample Calculation
This fictitious sample calculation represents the view of a Gold Club Member X.
For this example, let us assume:
  • the Team Cashback Sports Betting Pot equals EUR 10.000,00;
  • the Team Cashback Casino Pot equals EUR 12.000,00;
  • the total Wagers placed in Sports Betting equals EUR 150.000,00;
  • the total Wagers placed in Casino equals EUR 200.000,00;
  • the Team of Gold Club Member X has placed the following Wagers in the specific Services:
    • 1st Generation has placed Wagers of a total of EUR 90,00 in Sports Betting;
    • 2nd Generation has placed Wagers of a total of EUR 20,00 in Sports Betting;
    • 1st Generation has placed Wagers of a total of EUR 100,00 in Casino; and
    • 2nd Generation has placed Wagers of a total of EUR 70,00 in Casino.

4.2. Fast Start Bonus
4.2.1. Basis for Calculation
The basis for calculation of the Fast Start Bonus is the Calculation Base Three.

4.2.2. Fast Start Bonus Service Pot
There are three Fast Start Bonus Service Pots, the Fast Start Bonus Sports Betting Pot, the Fast Start Bonus Casino Pot and the Fast Start Bonus Nugget Game Pot.
The Fast Start Bonus Sports Betting Pot consists of:
  • 10% of the Calculation Base Three of Sports Betting;

The Fast Start Bonus Casino Pot consists of:
  • 10% of the Calculation Base Three of Casino; and

The Fast Start Bonus Nugget Game Pot consists of:
  • 50% of the Calculation Base Three of the Nugget Game.

4.2.3. Eligibility
The maximum Fast Start Bonus paid out to a Gold Club Member in a Pay Period depends on their Status in the Gold Club.

4.2.4. Distribution
The Fast Start Bonus Gold Club Members receive depends on:
  • Wagers placed by their First Generation in the specific Service (Sports Betting, Casino or Nugget Game) in relation to the total Wagers placed in that specific Service at the end of the Pay Period. Based on this ratio an aliquot part of the Fast Start Bonus Service Pot is calculated. From this aliquot part, the Gold Club Member receives 50% as Fast Start Bonus.
  • Wagers placed by their Second Generation in the specific Service (Sports Betting, Casino or Nugget Game) in relation to the total Wagers placed in that specific Service at the end of the Pay Period. Based on this ratio an aliquot part of the Fast Start Bonus Service Pot is calculated. From this aliquot part, the Gold Club Member receives 30% as Fast Start Bonus.
  • Wagers placed by their Third Generation in the specific Service (Sports Betting, Casino or Nugget Game) in relation to the total Wagers placed in that specific Service at the end of the Pay Period. Based on this ratio an aliquot part of the Fast Start Bonus Service Pot is calculated. From this aliquot part, the Gold Club Member receives 20% as Fast Start Bonus.
The amounts from each Fast Start Bonus Service Pot are then summed up and paid out to the Gold Club Member as Fast Start Bonus. Any part of the Fast Start Bonus Service Pot not distributed due to e.g. Gold Club Members reaching the maximum Fast Start Bonus being paid-out in their Status of the Gold Club, the remaining part of the Fast Start Bonus Service Pot will be distributed in accordance with the above regulation until the entire Fast Start Bonus Service Pot is used up.

4.2.5. Fictitious Sample Calculation
This fictitious sample calculation represents the view of a Gold Club Member X.
For this example, let us assume:
  • the Fast Start Bonus Sports Betting Pot equals EUR 9.500,00;
  • the Fast Start Bonus Casino Pot equals EUR 11.000,00;
  • the Fast Start Bonus Nugget Game Pot equals EUR 17.000,00;
  • the total Wagers equals EUR 150.000,00 in Sports Betting;
  • the total Wagers equals EUR 200.000,00 in Casino;
  • the total Wagers equals EUR 350.000,00 in Nugget Game;
  • the Team of Gold Club Member X has placed the following Wagers in the specific Services:
    • 1st Generation has placed Wagers of a total of EUR 90,00 in Sports Betting;
    • 1st Generation has placed Wagers of a total of EUR 100,00 in Casino;
    • 1st Generation has placed Wagers of a total of EUR 150,00 in Nugget Game;

4.3. Team Commission

4.3.1. Basis for Calculation The basis for calculation of the Team Commission is the Calculation Base Three.

4.3.2. Team Commission Pot
The Team Commission Pot consists of:
  • 19% of the Calculation Base Three of Sports Betting;
  • 19% of the Calculation Base Three of Casino; and
  • 9,5% of the Calculation Base Three of the Nugget Game.

4.3.3. Eligibility
The maximum Team Bonus paid out to a Gold Club Member in a Pay Period depends on their Status in the Gold Club:

4.3.4. Distribution
The Team Bonus a Gold Club Member receives depends on the Steps actually gained by them in relation to the total number of Steps actually gained at the end of the Pay Period. Based on this ratio the Gold Club Member receives an aliquot part of the Team Bonus Pot.

4.3.5. Fictitious Sample Calculation
This fictitious sample calculation represents the view of a Gold Club Member X.
For this example, let us assume:
  • the Team Bonus Pot equals EUR 15.000,00;
  • the total number of Steps actually gained equals 4.000;
  • the Steps actually gained by Gold Club Member X equals 5.

4.4. Matching Bonus

4.4.1. Basis for Calculation

The basis for calculation of the Matching Bonus is the Calculation Base Three.

4.4.2. Matching Bonus Service Pot
The Matching Bonus Pot consists of:
  • 1% of the Calculation Base Three of Sports Betting;
  • 1% of the Calculation Base Three of Casino; and
  • 0,5% of the Calculation Base Three of the Nugget Game.


4.4.3. Eligibility
To be eligible to receive a Matching Bonus Gold Club Members need to have a specific Status in the Gold Club.

Gold Club Members, who in the Gold Club hold the Status “Apprentice” or higher will receive a First Generation Matching Bonus.

Gold Club Members, who in the Gold Club hold the Status “Manager” or higher, will receive a First Generation Matching Bonus and a Second Generation Matching Bonus.

Gold Club Members, who in the Gold Club hold the Status “International Director”, will receive a First Generation Matching Bonus, a Second Generation Matching Bonus and a Third Generation Matching Bonus.

4.4.4. Distribution
The Matching Bonus Gold Club Members receive depends on:
  • Steps actually gained by the First Generation of a Gold Club Member in relation to the total number of Steps actually gained at the end of the Pay Period. Based on this ratio an aliquot part of the Matching Bonus Pot is calculated. From this aliquot part, the Gold Club Member receives 50% as Matching Bonus.
  • Steps actually gained by the Second Generation of a Gold Club Member in relation to the total number of Steps actually gained at the end of the Pay Period. Based on this ratio an aliquot part of the Matching Bonus Pot is calculated. From this aliquot part, the Gold Club Member receives 30% as Matching Bonus.
  • Steps actually gained by the Third Generation of a Gold Club Member in relation to the total number of Steps actually gained at the end of the Pay Period. Based on this ratio an aliquot part of the Matching Bonus Pot is calculated. From this aliquot part, the Gold Club Member receives 20% as Matching Bonus.
 
The amounts from each Matching Bonus Pot are then summed up and paid out to the Gold Club Member as Matching Bonus. Any part of the Matching Bonus Pot not distributed due to e.g. no Gold Club Member reaching a certain Status in the Gold Club, the remaining part of the Matching Bonus Pot will be distributed in accordance with the above regulation until the entire Matching Bonus Pot is used up as long as there is at least one Gold Club Member eligible for the Matching Bonus.

4.4.5. Fictitious Sample Calculation
This fictitious sample calculation represents the view of a Gold Club Member X. For this example, let us assume:
  • the total number of Steps actually gained equals 4.000;
  • that Gold Club Member X is International Director;
  • the Steps actually gained by the First Generation of Gold Club Member X equals 2;
  • the Steps actually gained by the Second Generation of Gold Club Member X equals 1;
  • the Steps actually gained by the Third Generation of Gold Club Member X equals 2;
the Matching Bonus Pot equals EUR 15.000,00;

5. Explanatory Examples

5.1. Calculation Base

The Calculation Base is calculated separately for the Services, namely Sports Betting, Casino and the Nugget Game. Let us take Sports Betting as an example and review the calculation of the Calculation Base One, the Calculation Base Two and the Calculation Base Three.

For this Sports Betting Example, the following assumptions are made:
  • Assuming that out of all of the bets placed in Sports Betting in a Pay Period, 90% of the betting Wagers were returned to the Users as winnings. The remaining 10% of the betting Wagers then represents the Service related GGR.
    • For this example, let us assume the Sports Betting GGR equals EUR 150.000,00.
  • From this Sports Betting GGR LOPOCA deducts fees, taxes/tax related costs and overhead costs.
    • For this example let us assume that the deductions amount to EUR 20.000,00.
  • What remains will form the Calculation Base One, which LOPOCA will share with its Users.
    • In our example, the Calculation Base One for Sports Betting would therefore equal EUR 130.000,00, as EUR 20.000,00 was deducted from EUR 150.000,00.
  • Of the Calculation Base One, the Cashback Pot that is shared with Users is deducted to calculate the Calculation Base Two.
    • In this example this means that 7,88% of the Calculation Base One, which equals EUR 10.244,00, is deducted from the Calculation Base One, which equals EUR 130.000,00, thereby making the Calculation Base Two for Sports Betting amount to EUR 119.756,00.
  • To calculate the Calculation Base Three, the Team Cashback Pot is deducted from the Calculation Base Two.
    • For our example this means that 10,52% of the Calculation Base Two, which equals EUR 12.598,33, is deducted from the Calculation Base Two, which equals EUR 119.756,00, thereby making the Calculation Base Three for Sports Betting amount to EUR 107.157,67.

5.2. The 1/3 to 2/3 Rule

To generate one Step, the Gold Club Member’s Team has to generate 300 Points. According to the 1/3 to 2/3 Rule, at least one third of these 300 Points (100 Points) have to be generated by the weaker leg of a Gold Club Member’s Team. The remaining 200 Points have to be generated by the stronger leg of a Gold Club Member’s Team.

Example A:
The right leg of a Gold Club Member’s Team has generated 130 Points and the left leg of a Gold Club Member’s Team has generated 460 Points in the respective Pay Period.

100 of the 130 Points generated by the weaker leg (right leg) of the Gold Club Member’s Team, i.e. 1/3 of the 300 Points, and 200 of the 460 Points generated by the stronger leg (left leg), i.e. 2/3 of the 300 Points, are taken and added together to complete one actually gained Step in the Pay Period. The Points exceeding the 100 respectively 200 Points will not be deleted but carried forward. In this example, the remaining 30 Points generated by the weaker leg of the Gold Club Member’s Team and the remaining 260 Points generated by the stronger leg of the Gold Club Member’s Team would be carried forward.

Example B:
The weaker leg of a Gold Club Member’s Team has generated 220 Points and the stronger leg of a Gold Club Member’s Team has generated 670 Points in the respective Pay Period.

For the Gold Club Member this means that two Steps have been actually gained. According to the 1/3 to 2/3 Rule. 100 Points can twice be taken from the Points generated by the weaker leg of the Gold Club Member’s Team and 200 Points can twice be taken from the Points generated by the stronger leg of the Gold Club Member’s Team. Thus two Steps are actually gained. The remaining 20 Points generated by the weaker leg of the Gold Club Member’s Team and the remaining 270 Points generated by the stronger leg of the Gold Club Member’s Team will be carried forward to the next Pay Period.
